SHIPPING & DELIVERY POLICY

1. Purpose

This Shipping & Delivery Policy outlines the terms and procedures applicable to products supplied and delivered by Prime Blue Group Pty Ltd (Prime Blue Groupweus or our).

This Policy applies to deliveries made directly by Prime Blue Group and, where applicable, deliveries performed on our behalf by third-party transport, freight or logistics providers.

Our delivery services may include:

  • bulk liquid deliveries;
  • tanker deliveries;
  • IBC deliveries and fills;
  • drums and packaged products;
  • commercial and industrial deliveries;
  • warehouse or depot deliveries; and
  • other delivery arrangements agreed with customers.

This Policy should be read together with any applicable quotation, invoice, credit agreement, supply agreement, Terms and Conditions of Trade and other written agreement between Prime Blue Group and the customer.

Nothing in this Policy excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

 

2. Delivery Areas

Prime Blue Group provides delivery services to approved locations throughout Australia, subject to:

  • product availability;
  • delivery location;
  • quantity ordered;
  • vehicle accessibility;
  • transport availability;
  • applicable freight charges;
  • site conditions;
  • regulatory requirements; and
  • prior agreement with Prime Blue Group.

Delivery availability may vary depending on the product and destination.

Customers should contact Prime Blue Group for confirmation of delivery availability to their location.

 

3. Delivery Timeframes

Prime Blue Group will use reasonable efforts to deliver orders within the estimated timeframe communicated to the customer.

Any delivery date or time provided is an estimate unless Prime Blue Group expressly confirms otherwise in writing.

Delivery times may be affected by circumstances including:

  • traffic conditions;
  • vehicle availability;
  • transport delays;
  • weather;
  • road closures;
  • mechanical breakdowns;
  • supplier delays;
  • product availability;
  • regulatory restrictions;
  • emergencies;
  • industrial action;
  • site accessibility;
  • previous deliveries taking longer than expected; and
  • other circumstances outside Prime Blue Group’s reasonable control.

Prime Blue Group will endeavour to communicate material delays where reasonably practicable.

 

4. Urgent and Same-Day Deliveries

Urgent, priority or same-day deliveries may be available by prior arrangement.

Such deliveries are subject to:

  • product availability;
  • driver and vehicle availability;
  • location;
  • order quantity;
  • applicable additional charges; and
  • operational capacity.

Prime Blue Group does not guarantee same-day or urgent delivery unless expressly confirmed in writing.

 

5. Delivery Charges

Delivery or freight charges may be calculated based on factors including:

  • delivery distance;
  • product quantity;
  • vehicle required;
  • delivery type;
  • access requirements;
  • urgency;
  • waiting time;
  • tolls;
  • regional or remote location;
  • after-hours requirements; and
  • any special handling requirements.

Applicable delivery charges will generally be communicated through a quotation, order confirmation, invoice or other agreement.

Additional charges may apply where circumstances at the delivery location differ materially from the information supplied when the delivery was arranged.

 

6. Customer Delivery Information

Customers are responsible for providing complete and accurate delivery information, including where applicable:

  • legal or trading name;
  • delivery address;
  • site contact;
  • telephone number;
  • operating hours;
  • requested delivery date;
  • product required;
  • quantity required;
  • tank or IBC information;
  • access instructions;
  • site restrictions;
  • vehicle requirements;
  • safety requirements; and
  • any other information reasonably necessary to complete the delivery safely.

Prime Blue Group is not responsible for delays, additional costs or failed deliveries caused by incomplete, inaccurate or outdated information supplied by the customer.

 

7. Site Access

The customer must ensure that the delivery location provides safe, lawful and adequate access for the vehicle required to perform the delivery.

This includes ensuring, where applicable:

  • sufficient vehicle entry and exit clearance;
  • appropriate road and driveway access;
  • adequate turning space;
  • safe ground conditions;
  • appropriate height clearance;
  • access through gates;
  • suitable tanker access;
  • safe positioning near the receiving point;
  • access to the correct tank, IBC or storage vessel;
  • compliance with site-specific safety requirements; and
  • absence of unreasonable hazards.

The customer must notify Prime Blue Group before dispatch of any unusual or restricted site-access conditions.

 

8. Safe Delivery Conditions

Prime Blue Group and its drivers place safety first.

Our driver or authorised delivery representative may delay, suspend or refuse a delivery where they reasonably believe that completing the delivery would:

  • create a health or safety risk;
  • damage a vehicle or equipment;
  • breach applicable law;
  • expose persons or property to unreasonable risk;
  • require unsafe access;
  • involve an unsafe or unsuitable receiving container; or
  • otherwise be unsafe or impracticable.

A driver is not required to follow any customer instruction that the driver reasonably considers unsafe or unlawful.

A failed or delayed delivery resulting from unsafe site conditions may incur additional delivery or redelivery charges.

 

9. Customer Representative at Delivery

Where reasonably required, the customer must ensure that an authorised representative is available at the delivery location to:

  • provide access;
  • identify the correct receiving tank, IBC or storage location;
  • provide relevant site instructions;
  • confirm the product and quantity;
  • assist with site-specific requirements; and
  • acknowledge delivery documentation.

If no authorised person is available and the delivery cannot safely or reasonably be completed, Prime Blue Group may:

  • complete only the portion of the delivery that can safely be performed;
  • postpone the delivery;
  • return the undelivered product;
  • arrange redelivery; and/or
  • charge reasonable additional costs associated with the failed or incomplete delivery.

 

10. Unattended Deliveries

Prime Blue Group may perform an unattended delivery where:

  • this has been agreed or authorised by the customer;
  • site access is available;
  • the receiving location can be clearly identified; and
  • the driver determines that the delivery can be completed safely.

By authorising unattended delivery, the customer accepts responsibility for ensuring that:

  • the correct receiving tank or IBC is clearly identifiable;
  • sufficient capacity is available;
  • the receiving equipment is accessible;
  • the receiving equipment is suitable for the product;
  • access is safe; and
  • all necessary delivery instructions have been provided in advance.

Prime Blue Group reserves the right not to complete an unattended delivery if there is uncertainty regarding the receiving point, available capacity, product compatibility, site safety or any other material issue.

 

11. Bulk Liquid Deliveries

For bulk deliveries, the customer must ensure before delivery that the receiving tank, IBC or other storage vessel:

  • is suitable for the ordered product;
  • has sufficient available capacity;
  • is structurally sound;
  • is accessible;
  • is correctly identified;
  • is appropriately maintained;
  • is compatible with the delivered product;
  • is free from contamination where required; and
  • can safely receive the ordered quantity.

The customer must accurately advise Prime Blue Group of the available storage capacity.

Prime Blue Group and its driver may rely on information provided by the customer regarding tank capacity, product identity and receiving instructions unless there is an obvious reason not to do so.

 

12. Customer-Owned Tanks, IBCs and Storage Equipment

Where Prime Blue Group delivers product into a tank, IBC, drum, container, pipework, pumping system or other storage or handling equipment owned, supplied or controlled by the customer, the customer is responsible for the condition and suitability of that equipment.

The customer must ensure the equipment is:

  • clean;
  • compatible with the product;
  • free from foreign material;
  • free from incompatible previous product;
  • properly maintained;
  • appropriately labelled; and
  • suitable to receive the delivery.

To the maximum extent permitted by law, Prime Blue Group is not responsible for product contamination, deterioration, dilution or degradation caused by the condition, cleanliness, previous contents, maintenance or operation of customer-owned or customer-controlled storage and handling equipment.

This provision does not exclude liability for a product issue demonstrated to have existed before or at the time of supply where Prime Blue Group is legally responsible for that issue.

 

13. Insufficient Tank or IBC Capacity

It is the customer’s responsibility to ensure that sufficient storage capacity is available before delivery.

If the full ordered quantity cannot be delivered because the receiving tank, IBC or storage system:

  • is full;
  • contains more existing product than advised;
  • has insufficient capacity;
  • cannot be safely accessed; or
  • is otherwise unsuitable,

Prime Blue Group may stop the delivery.

The customer may remain responsible for the quantity delivered and any reasonable additional transport, handling, waiting or redelivery costs incurred.

 

14. Stacked or Inaccessible IBCs

Customer-owned IBCs and other receiving containers must be positioned so that they can be safely accessed by the delivery driver and equipment.

Prime Blue Group is not required to:

  • move customer equipment;
  • relocate IBCs;
  • unstack unsafe containers;
  • operate customer machinery; or
  • perform activities outside the reasonable scope of the delivery.

Where an IBC or other receiving container is inaccessible, including where it is positioned underneath another IBC or otherwise obstructed, Prime Blue Group may complete only the quantity that can be safely delivered.

Any remaining quantity may require a separate delivery and may incur additional charges.

 

15. Delivery Quantity

The quantity delivered may be determined using applicable:

  • calibrated delivery meters;
  • tanker metering systems;
  • weighbridge records;
  • packaged quantities;
  • IBC volumes; or
  • other appropriate measurement systems.

The quantity shown on the applicable delivery docket, meter record or other delivery documentation will be used as evidence of the quantity delivered, subject to any demonstrated measurement error and applicable law.

Customers should report any suspected quantity discrepancy to Prime Blue Group as soon as reasonably practicable.

 

16. Delivery Dockets and Proof of Delivery

Prime Blue Group may issue a delivery docket or other proof-of-delivery record for each delivery.

Proof of delivery may include:

  • customer signature;
  • driver records;
  • electronic delivery confirmation;
  • photographs;
  • GPS or vehicle records;
  • meter readings;
  • delivery timestamps;
  • site records; and
  • other reasonable evidence demonstrating completion of delivery.

Where an unattended delivery has been authorised, the absence of a customer signature does not by itself mean that delivery has not occurred.

 

17. Delivery Photographs

For operational, quality-control, safety and delivery-verification purposes, Prime Blue Group or its authorised delivery providers may take photographs of:

  • receiving tanks;
  • IBCs;
  • delivered products;
  • delivery equipment;
  • relevant site conditions; and
  • completed deliveries.

Such photographs may be retained as part of Prime Blue Group’s delivery and traceability records.

Prime Blue Group will handle personal information contained in such records in accordance with its Privacy Policy and applicable law.

 

18. Failed Deliveries

A delivery may be considered failed where Prime Blue Group or its delivery provider attends the nominated delivery location but cannot reasonably complete the delivery because of circumstances attributable to the customer or delivery site.

Examples include:

  • nobody available to provide required access;
  • locked gates;
  • incorrect address;
  • unsafe site conditions;
  • inaccessible tank or IBC;
  • insufficient storage capacity;
  • unsuitable receiving equipment;
  • incorrect delivery instructions;
  • customer refusal to accept an authorised order; or
  • other circumstances preventing safe completion.

Prime Blue Group reserves the right to charge reasonable costs associated with the failed delivery, including transport, waiting, return freight and redelivery costs.

 

19. Waiting Time

The customer must make reasonable arrangements to allow the delivery to proceed without unnecessary delay.

Additional waiting-time charges may apply where a delivery vehicle or driver is unreasonably delayed at the customer’s site due to circumstances outside Prime Blue Group’s control.

Where excessive delays occur, Prime Blue Group may leave the site and arrange redelivery.

 

20. Partial Deliveries

Prime Blue Group may make a partial delivery where:

  • insufficient receiving capacity exists;
  • part of the storage equipment is inaccessible;
  • safety concerns prevent completion;
  • product availability requires split delivery;
  • vehicle capacity requires multiple loads;
  • the customer requests a partial delivery; or
  • other operational circumstances reasonably require it.

Customers will only be invoiced in accordance with the applicable supply agreement, quotation, actual quantities delivered and any applicable charges.

 

21. Delivery Delays Outside Our Control

Prime Blue Group will not be responsible, to the extent permitted by law, for delay or failure to deliver caused by circumstances beyond our reasonable control.

Such circumstances may include:

  • severe weather;
  • flooding;
  • bushfires;
  • road closures;
  • traffic incidents;
  • government restrictions;
  • industrial disputes;
  • fuel shortages;
  • mechanical failures;
  • supply-chain disruption;
  • natural disasters;
  • emergencies;
  • war or civil disturbance; and
  • other force majeure events.

Where reasonably practicable, Prime Blue Group will work with the customer to reschedule the affected delivery.

 

22. Inspection Upon Delivery

Customers should inspect the delivery as soon as reasonably practicable.

Any obvious issue relating to:

  • incorrect product;
  • visible damage;
  • quantity;
  • packaging;
  • delivery location; or
  • apparent contamination

should be reported to Prime Blue Group promptly.

Where appropriate, the affected product should be quarantined and should not be mixed, transferred, used or disposed of until Prime Blue Group has had a reasonable opportunity to investigate.

 

23. Product Quality and Batch Traceability

Prime Blue Group maintains quality-control and batch-traceability procedures for applicable products.

Relevant batches may be subject to:

  • internal testing;
  • independent external laboratory testing;
  • batch identification;
  • quality documentation;
  • Certificates of Analysis where applicable; and
  • production and supply traceability records.

Product-quality concerns will be investigated in accordance with Prime Blue Group’s applicable Refund, Returns & Product Quality Policy and quality procedures.

 

24. Risk and Title

Risk in products will pass in accordance with the applicable contract, Terms and Conditions of Trade or other written agreement between Prime Blue Group and the customer.

Where no separate written provision applies, applicable Australian law will determine when risk and title pass.

Nothing in this Shipping & Delivery Policy is intended to override any mandatory legal rights or obligations.

 

25. Incorrect Delivery by Prime Blue Group

Where Prime Blue Group has delivered:

  • the incorrect product;
  • an incorrect quantity;
  • to an incorrect location; or
  • otherwise failed to perform the delivery as agreed due to an error attributable to Prime Blue Group,

the customer should contact us as soon as reasonably practicable.

Prime Blue Group will investigate and, where the error is confirmed, arrange an appropriate remedy in accordance with applicable law and the relevant supply agreement.

 

26. Changes and Cancellations

Customers should notify Prime Blue Group as early as possible if they need to:

  • change a delivery date;
  • change the delivery address;
  • change the quantity;
  • cancel an order; or
  • modify site instructions.

Once an order has been dispatched, loaded, specially prepared or allocated for delivery, cancellation or modification may not be possible without additional costs.

Reasonable cancellation, transport, handling or restocking charges may apply where permitted by law and agreed under the applicable commercial terms.

 

27. Customer Safety Responsibilities

The customer is responsible for maintaining a safe workplace and delivery environment at its premises.

Customers must disclose known site hazards that may reasonably affect the delivery, including:

  • restricted vehicle access;
  • overhead hazards;
  • unstable ground;
  • hazardous substances;
  • confined areas;
  • active machinery;
  • site traffic;
  • special PPE requirements; and
  • other relevant workplace hazards.

Prime Blue Group personnel and contractors must comply with applicable workplace health and safety requirements while performing deliveries.

 

28. Australian Consumer Law

Nothing in this Policy excludes, restricts or modifies any guarantee, condition, warranty, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable legislation.

Where this Policy conflicts with a mandatory statutory right, the statutory right will prevail.

 

29. Relationship With Other Terms

This Shipping & Delivery Policy forms part of Prime Blue Group’s general customer policies.

Where applicable, it should be read together with:

  • Prime Blue Group Terms and Conditions of Trade;
  • Refund, Returns & Product Quality Policy;
  • Privacy Policy;
  • applicable quotations;
  • credit applications;
  • invoices;
  • supply agreements; and
  • product-specific requirements.

If a separately executed written agreement contains specific delivery terms inconsistent with this Policy, the executed agreement will prevail to the extent permitted by law.

 

30. Changes to This Policy

Prime Blue Group may update this Shipping & Delivery Policy from time to time to reflect changes to:

  • our operations;
  • delivery network;
  • products;
  • applicable legislation;
  • safety requirements; or
  • business practices.

The current version will be identified by the effective date stated at the beginning of this Policy.
