1. Introduction
These Terms and Conditions of Trade (Terms) govern the supply of goods and services by Prime Blue Group Pty Ltd (ABN 57 694 500 966) (Prime Blue Group, we, us or our) to any person, company, partnership, trust, organisation or other entity purchasing or receiving goods or services from us (Customer, you or your).
By:
- placing an order with Prime Blue Group;
- accepting a quotation;
- establishing a credit account;
- signing a supply agreement;
- accepting delivery of goods; or
- otherwise purchasing goods or services from Prime Blue Group,
the Customer agrees to be bound by these Terms, subject to any separately executed written agreement between Prime Blue Group and the Customer.
2. Application of Terms
These Terms apply to all quotations, orders, sales, deliveries and supplies by Prime Blue Group unless otherwise agreed in writing by an authorised representative of Prime Blue Group.
These Terms should be read together with our applicable:
- quotations;
- invoices;
- credit applications;
- supply agreements;
- Shipping & Delivery Policy;
- Refund, Returns & Product Quality Policy;
- Privacy Policy; and
- product-specific terms or specifications.
If Prime Blue Group and the Customer enter into a separately executed written contract containing terms inconsistent with these Terms, the executed contract will prevail to the extent of the inconsistency.
3. Orders
An order placed with Prime Blue Group constitutes an offer by the Customer to purchase the specified goods or services.
Prime Blue Group may accept or decline an order at its discretion, subject to applicable law.
An order will generally be considered accepted when Prime Blue Group:
- confirms the order;
- issues an order confirmation;
- commences preparation of the goods;
- dispatches the goods; or
- otherwise communicates acceptance.
Prime Blue Group may impose minimum order quantities for certain products or delivery areas.
4. Quotations
Unless otherwise specified, quotations issued by Prime Blue Group are invitations to treat and are subject to:
- product availability;
- transport availability;
- applicable taxes;
- delivery requirements;
- market conditions; and
- any conditions specified in the quotation.
A quotation is valid for the period stated on the quotation.
Where no validity period is specified, Prime Blue Group may withdraw or amend the quotation at any time before acceptance.
5. Pricing
Prices will be those:
- specified in an accepted quotation;
- specified in an applicable supply agreement;
- agreed in writing; or
- otherwise applicable at the time the order is accepted.
Unless expressly stated otherwise, applicable freight, delivery, taxes, levies, surcharges and other charges may be added to the price.
6. GST
Unless otherwise stated, prices may be quoted exclusive of Goods and Services Tax (GST).
Where GST applies, the Customer must pay the applicable GST in addition to the price of the goods or services.
Prime Blue Group will provide a valid tax invoice where required.
7. Standard Payment Terms – 21 Days
Subject to Prime Blue Group approving a Customer for credit, our standard trading terms are twenty-one (21) days.
Unless otherwise expressly agreed in writing, invoices issued to approved credit Customers must be paid in full within 21 days from the invoice date.
Approval of a credit account is at Prime Blue Group’s discretion and may be subject to:
- completion of a credit application;
- satisfactory credit checks;
- trade references;
- financial information;
- credit limits;
- trading history;
- personal or director guarantees where applicable; and
- any other reasonable credit assessment requirements.
Prime Blue Group may amend, suspend or withdraw credit facilities where reasonably necessary, subject to any binding contractual arrangements.
8. Contract Customers – Maximum 30-Day Terms
Where a Customer wishes to establish an ongoing contractual supply arrangement with Prime Blue Group, extended payment terms may be considered.
Prime Blue Group may, at its discretion, approve payment terms of up to a maximum of thirty (30) days.
Thirty-day payment terms are not automatic.
They apply only where:
- Prime Blue Group has expressly approved the Customer for 30-day terms;
- the arrangement is documented in writing;
- any required contract or supply agreement has been executed; and
- the Customer remains within its approved credit limit and complies with its payment obligations.
Unless otherwise specified in the written contract, approved 30-day invoices must be paid in full within 30 days from the invoice date.
Prime Blue Group will not ordinarily provide payment terms exceeding 30 days unless expressly approved under a separately negotiated written agreement.
9. New Customers and Customers Without Approved Credit
Customers who have not been approved for a Prime Blue Group credit account may be required to pay:
- in advance;
- prior to dispatch;
- prior to delivery;
- on delivery; or
- according to another payment arrangement confirmed by Prime Blue Group.
Completing a credit application does not guarantee approval.
Prime Blue Group may require a period of satisfactory trading history before offering credit terms.
10. Credit Limits
Prime Blue Group may establish a credit limit for each approved Customer.
The Customer must not exceed its approved credit limit without prior written approval.
If an order would cause the Customer’s outstanding account balance to exceed its credit limit, Prime Blue Group may require:
- payment of outstanding invoices;
- partial payment;
- payment in advance for the new order; or
- another acceptable payment arrangement
before further supply occurs.
11. Invoices
Prime Blue Group may issue invoices electronically.
The Customer is responsible for ensuring that Prime Blue Group has the correct:
- accounts payable contact;
- billing email;
- business details;
- purchase order details where applicable; and
- other information reasonably necessary for invoicing.
Failure by the Customer’s internal system to process an invoice does not, by itself, extend the agreed payment due date.
12. Invoice Disputes
If the Customer reasonably disputes an invoice, the Customer should notify Prime Blue Group as soon as practicable after receiving the invoice and provide:
- the invoice number;
- the amount disputed;
- the reason for the dispute; and
- supporting information.
The Customer must continue to pay all undisputed amounts by their applicable due dates.
The parties will use reasonable efforts to resolve legitimate invoice disputes promptly.
13. Overdue Accounts
An account becomes overdue when an amount remains unpaid after its applicable due date.
Where an account becomes overdue, Prime Blue Group may, subject to applicable law and contractual obligations:
- contact the Customer requesting payment;
- place the Customer’s account on hold;
- suspend further credit;
- require future orders to be prepaid;
- reduce or withdraw the Customer’s credit limit;
- suspend further deliveries;
- cancel unfulfilled orders where legally permitted; and
- take reasonable steps to recover the outstanding debt.
14. Interest on Overdue Amounts
To the extent permitted by law and where disclosed or agreed as part of the applicable credit or contractual arrangement, Prime Blue Group may charge reasonable interest on overdue amounts.
Any applicable interest rate will be specified in the relevant credit application, supply agreement, quotation, invoice terms or other written agreement.
15. Debt Recovery Costs
To the extent permitted by law and under the applicable agreement, the Customer may be responsible for reasonable costs incurred by Prime Blue Group in recovering legitimately overdue amounts, including reasonable:
- debt collection costs;
- legal costs;
- court fees; and
- enforcement expenses.
16. Suspension of Supply
Prime Blue Group may suspend further supply where:
- invoices are materially overdue;
- the Customer exceeds its credit limit;
- the Customer breaches these Terms;
- Prime Blue Group reasonably considers there to be a material credit risk;
- the Customer becomes insolvent or is reasonably suspected of insolvency; or
- another material contractual issue remains unresolved.
Where practicable and appropriate, Prime Blue Group will notify the Customer of the suspension.
17. Delivery
Delivery is subject to Prime Blue Group’s Shipping & Delivery Policy and any specific terms agreed with the Customer.
Delivery dates and times are estimates unless expressly guaranteed in writing.
Customers must provide safe and reasonable access to the nominated delivery location.
18. Bulk Deliveries
For bulk liquid deliveries, the Customer is responsible for ensuring that:
- sufficient receiving capacity is available;
- the correct tank or IBC is identified;
- receiving equipment is accessible;
- storage equipment is suitable for the relevant product;
- customer-owned equipment is clean and properly maintained; and
- site conditions allow the delivery to be completed safely.
Prime Blue Group may refuse or discontinue a delivery where completing it would be unsafe or where the receiving equipment is unsuitable or inaccessible.
19. Customer-Owned Tanks, IBCs and Storage Equipment
Where product is delivered or transferred into tanks, IBCs, containers, pipework, pumps or other equipment owned, supplied or controlled by the Customer, the Customer is responsible for ensuring that equipment is clean, suitable and compatible with the delivered product.
Prime Blue Group does not control the previous contents, condition, cleanliness or subsequent use of customer-owned storage equipment.
Accordingly, to the maximum extent permitted by law, Prime Blue Group will not be responsible for contamination, deterioration, dilution, degradation or loss of product quality to the extent caused by customer-owned or customer-controlled storage or handling equipment or circumstances occurring after delivery outside Prime Blue Group’s control.
Nothing in this clause excludes responsibility for a product issue established to have existed at the time of supply where Prime Blue Group is legally responsible.
20. Product Quality
Prime Blue Group is committed to maintaining appropriate quality-control procedures.
Where applicable, product batches may be subject to:
- internal testing;
- independent external laboratory testing;
- batch identification;
- Certificates of Analysis;
- production records; and
- batch traceability procedures.
Prime Blue Group maintains relevant traceability records to assist with investigation of product-quality concerns.
21. Product Quality Claims
Customers must notify Prime Blue Group of suspected product-quality concerns as soon as reasonably practicable after becoming aware of them.
Prime Blue Group may request:
- photographs;
- batch information;
- delivery records;
- samples;
- information concerning customer storage;
- previous contents of the receiving vessel;
- independent testing; and
- other information reasonably necessary to investigate the claim.
Affected product should, where safe and reasonably practicable, be quarantined and not mixed, altered or disposed of until Prime Blue Group has had a reasonable opportunity to investigate.
22. Returns and Refunds
Returns, refunds, replacements and product-quality claims are governed by Prime Blue Group’s Refund, Returns & Product Quality Policy and applicable Australian law.
Bulk products that have entered customer-controlled storage will generally not be accepted back into Prime Blue Group’s saleable inventory because Prime Blue Group cannot verify their integrity after they have left its controlled supply chain.
This does not affect any statutory remedy to which the Customer is legally entitled.
23. Risk
Unless otherwise provided in an applicable written agreement, risk in the goods passes to the Customer upon delivery of the goods to the Customer’s nominated delivery location or when the goods are transferred into the Customer’s receiving equipment, as applicable and to the extent permitted by law.
24. Retention of Title
To the extent permitted by law, title to goods supplied by Prime Blue Group will not pass to the Customer until Prime Blue Group has received payment in full for those goods.
Until title passes, the Customer must not knowingly deal with unpaid goods in a manner inconsistent with Prime Blue Group’s ownership rights, except in the ordinary course of the Customer’s business where permitted by the applicable agreement and law.
25. Personal Property Securities Act
Where applicable, these Terms may constitute a security agreement for the purposes of the Personal Property Securities Act 2009 (Cth) (PPSA).
The Customer agrees to reasonably assist Prime Blue Group with steps lawfully necessary to protect or register any security interest arising under an applicable credit or supply arrangement.
Any PPSA provisions relied upon by Prime Blue Group will operate only to the extent permitted by applicable law.
26. Customer Obligations
The Customer agrees to:
- provide accurate information;
- pay invoices when due;
- comply with agreed credit limits;
- provide safe delivery access;
- use and store products appropriately;
- follow applicable product instructions;
- promptly report material problems;
- comply with applicable laws; and
- not misrepresent its relationship with Prime Blue Group.
27. Cancellation of Orders
A Customer wishing to cancel or modify an order must contact Prime Blue Group as soon as possible.
Where goods have already been:
- procured specifically for the Customer;
- manufactured or prepared;
- loaded;
- dispatched; or
- otherwise committed to fulfil the Customer’s order,
Prime Blue Group may be unable to accept cancellation without reasonable associated costs, subject to applicable law and contractual arrangements.
28. Limitation of Liability
To the maximum extent permitted by law, Prime Blue Group will not be liable for indirect, incidental, special or consequential loss arising from the supply of goods or services except to the extent such liability cannot lawfully be excluded or limited.
Prime Blue Group is not responsible for loss to the extent caused or contributed to by:
- improper storage;
- customer contamination;
- customer misuse;
- incompatible storage equipment;
- mixing with another product;
- failure to follow product instructions;
- inaccurate information provided by the Customer; or
- circumstances outside Prime Blue Group’s reasonable control.
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
29. Australian Consumer Law
Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law.
Where mandatory provisions of the Australian Consumer Law apply and conflict with these Terms, those mandatory provisions prevail.
30. Force Majeure
To the extent permitted by law, Prime Blue Group will not be responsible for delay or failure to perform an obligation where performance is prevented or materially affected by circumstances beyond our reasonable control.
Such circumstances may include:
- natural disasters;
- severe weather;
- flooding;
- bushfires;
- transport disruption;
- road closures;
- industrial action;
- supply shortages;
- equipment failures;
- government restrictions;
- emergencies;
- war or civil disturbance; and
- significant supply-chain disruptions.
Prime Blue Group will use reasonable efforts to resume performance when reasonably practicable.
31. Confidentiality
Where either party receives commercially confidential information in connection with an ongoing supply arrangement, that party must take reasonable steps to protect the information from unauthorised disclosure, except where disclosure is:
- authorised;
- necessary to perform the agreement;
- made to professional advisers under appropriate confidentiality obligations; or
- required by law.
32. Privacy
Prime Blue Group handles personal information in accordance with its Privacy Policy and applicable Australian privacy laws.
Customers are responsible for ensuring that any personal information they provide to Prime Blue Group has been collected and disclosed lawfully.
33. Contract Customers
Customers entering into ongoing contract arrangements may be required to execute a separate Supply Agreement or Customer Contract.
Such agreements may establish:
- agreed pricing;
- minimum purchase quantities;
- delivery schedules;
- product specifications;
- forecast requirements;
- approved credit limits;
- 30-day payment terms;
- contract duration;
- termination rights; and
- other commercial terms.
Where the written contract provides different terms from these general Terms, the contract will prevail to the extent of any inconsistency.
34. No Automatic Right to 30-Day Credit
For clarity:
Prime Blue Group’s standard approved credit term is 21 days.
A Customer does not become entitled to 30-day payment terms merely because it regularly purchases products from Prime Blue Group.
30-day terms are reserved for Customers specifically approved by Prime Blue Group under a contractual or other written commercial arrangement.
The maximum ordinary contractual credit term offered by Prime Blue Group is 30 days, unless otherwise expressly authorised in writing by Prime Blue Group.
35. Credit Review
Prime Blue Group may periodically review a Customer’s credit facility based on factors including:
- payment history;
- purchase volume;
- account conduct;
- financial circumstances;
- credit information;
- outstanding balances; and
- overall commercial relationship.
Following a review, Prime Blue Group may increase, reduce, suspend or withdraw a credit facility subject to applicable contractual and legal requirements.
36. Insolvency
Subject to applicable insolvency laws and any restrictions on enforcement, Prime Blue Group may review or suspend credit arrangements where the Customer:
- becomes insolvent;
- enters liquidation or administration;
- appoints a receiver;
- proposes an arrangement with creditors; or
- otherwise demonstrates a material inability to pay debts when due.
Nothing in this clause permits Prime Blue Group to exercise a contractual right where applicable insolvency legislation prohibits the exercise of that right.
37. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
Subject to any mandatory jurisdictional requirements, the parties submit to the jurisdiction of the courts of New South Wales and applicable Commonwealth courts.
38. Severability
If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision will be read down to the extent reasonably possible.
If it cannot be read down, it will be severed, and the remaining provisions will continue to operate.
39. No Waiver
A failure or delay by Prime Blue Group in exercising a contractual right does not constitute a waiver of that right.
A waiver is effective only to the extent expressly given.
40. Amendments
Prime Blue Group may update these general Terms from time to time.
Any amended Terms will apply prospectively to transactions occurring after the effective date of the updated Terms, unless otherwise agreed or permitted by law.
Existing separately executed contracts will continue to be governed according to their terms unless amended by agreement.
41. Entire Agreement
For transactions governed solely by these Terms, the applicable quotation, accepted order, credit documentation, invoice terms and incorporated Prime Blue Group policies collectively constitute the agreement concerning the relevant supply.
For contract Customers, the executed Supply Agreement and documents incorporated into it constitute the agreement between the parties regarding that contractual arrangement.

PAYMENT TERMS SUMMARY
Standard Approved Trading Account:
Payment due within 21 days from invoice date.
Approved Contract Customer:
Payment terms may be extended to 30 days from invoice date, subject to written approval and contractual agreement.
New / Non-Credit Customer:
Prepayment, payment before delivery, COD or other terms specified by Prime Blue Group.
Maximum Standard Contract Credit Term:
30 days, unless Prime Blue Group expressly approves otherwise in writing.
